Primary Responsibilities and Tasks for This Role:

  • Ensure full compliance with all corporate governance, statutory, and legal requirements, particularly in preparation for the company’s IPO.
  • Function as a designated Compliance Officer for the Company.
  • Conduct press releases for publishing results, conduct earnings calls, and handle corporate communications.
  • Oversee the drafting, review, and filing of all regulatory documents, including board resolutions, financial disclosures, and annual filings.
  • Act as a key advisor to the board of directors, providing guidance on fiduciary duties, corporate laws, and best practices.
  • Ensure proper and timely maintenance of minutes, registers, and charters.
  • Manage the organization of board meetings, including agenda setting, minute recording, and follow-ups on action items.
  • Coordinate with external legal advisors, auditors, and regulatory authorities to ensure smooth communication and compliance.
  • Timely filing of SEBI and stock exchange filing such as RPT, governance reports, shareholdings, and press releases.
  • Implement and manage an effective system for tracking and reporting all corporate governance activities and compliance risks.
  • Provide training to senior management and the board on corporate governance issues and changes in regulatory requirements.
  • Entrusted for maintenance of vigil mechanism for the Company, initiate committee meetings, and follow up for closure of concerns noted.

Projects or Initiatives the New Hire Will Be Involved In:

  • Play a critical role in the company’s IPO journey, ensuring all legal, regulatory, and compliance frameworks are robust and well-documented.
  • Exceptional experience in handling a listed company’s requirements relating to SEBI, NSE/BSE, MCA, and other stakeholders.
  • Handled private equity, QIB, and other preferential allotment of shares.
  • Lead the development of new corporate governance policies to meet the requirements of a publicly listed company.
  • Engage in the continuous improvement of internal controls and compliance frameworks to align with global best practices.
  • Prior experience in handling investor and shareholder grievances to ensure timely closure of concerns within a reasonable time.
  • Participate in strategic decision-making processes, offering insights on regulatory impacts and risk management.
  • Oversee the transition and compliance adjustments post-IPO, ensuring the company meets all obligations as a publicly traded entity.

Qualifications and Skills Necessary for Candidates to Succeed:

  • Minimum of 10 years of experience as a Company Secretary, with substantial exposure to IPOs, corporate governance, and regulatory compliance.
  • Membership in the Institute of Company Secretaries of India (ICSI) or equivalent international qualification.
  • Deep understanding of corporate law, SEBI regulations, and listing requirements.
  • Exceptional organizational and project management skills, with the ability to handle complex legal documentation and processes.
  • Strong interpersonal and communication skills, with the ability to effectively liaise with senior executives, board members, and regulatory bodies.
  • Proven ability to manage multiple stakeholders and navigate complex regulatory environments.
